Terms of Service

These Terms of Service (“Terms”) are an agreement between Anchorwell LLC, doing business as DataCow(“DataCow”, “we”, “us”), and the person or organisation using datacow.coand related services (the “Services”) (“you”). If you use the Services for an organisation, you agree for that organisation and confirm you have authority to bind it. By using the Services you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. The Services

The Services are provided for informational purposes and to let you contact us. Nothing on the Services is an offer, a quotation or a commitment by either party. Any commercial relationship between you and DataCow arises only under a separate written agreement signed by both parties, and if such an agreement conflicts with these Terms, that agreement governs.

2. Accounts and communications

If we create an account for you or send you a sign-in link, you are responsible for activity under that account and for keeping access to your email secure. Tell us promptly at founders@datacow.co if you believe your account has been accessed without authorisation.

3. Information you provide

You represent that any information you provide to us is accurate, that you have the right to provide it, and that providing it does not breach any law, contract or third-party right. We treat information you provide as confidential and use it only as these Terms and our Privacy Policy allow, or as a separate written agreement between us permits. You may ask us to delete it at any time.

4. Acceptable use

You will not:

• access another person’s account or data, or probe, scan or test the Services’ security without our written permission;
• interfere with or overload the Services, or use them to send spam or malware;
• copy, scrape or reverse engineer the Services except where the law allows; or
• use the Services in breach of any law or third-party terms.

5. Intellectual property

We own the Services, including our software, content and branding. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. If you send us feedback, we may use it without obligation to you.

6. Suspension and termination

You may stop using the Services at any time. We may suspend or end your access if you breach these Terms, if required by law, or to protect the Services or others. Sections 3, 5, 7, 8, 9 and 10 survive termination.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, DATACOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.

8. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE OR DATA, AND DATACOW’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED US$100. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

9. Indemnity

You will defend, indemnify and hold harmless DataCow, its affiliates and their personnel from and against any claims, losses, damages, fines and costs (including reasonable legal fees) arising from your breach of these Terms or your violation of any law or third-party right.

10. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and each party consents to their jurisdiction.

11. General

These Terms and the Privacy Policy are the entire agreement between us about their subject matter. We may update these Terms by posting a new version with a new effective date, and continued use after that date means acceptance. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
